General Conditions of Sale

For purposes of this agreement. Workspace Dynamics is known as the seller. The purchaser agrees to the following general Conditions of sale by purchasing from this website.

- All quotations are valid for 30 days unless otherwise agreed upon by the seller in writing.

- Orders that are approved by the purchaser are Non-Cancelable and Non-Returnable by the purchaser without the sellers written consent.

- Accepted orders over $1,000 require a 50% deposit on standard orders.

- The seller is not responsible or in any manner liable for damages or otherwise for any default or delays of production of said order due to acts of God, fire, public enemy, accidents, transportation, material processing, labor disputes, other unforseen circumstances, or Government orders regulations hindering or rendering impossible the performance of the seller.

- Title of materials to be furnished to the purchaser from the seller shall pass to the purchaser upon the delivery of the materials to the common carrier at the point of origin. If the purchaser does not make payment within the 30-day period, then title automatically passes to the seller until payment is received. Purchaser also agrees to give the seller access to the materials if seller needs to repossess the materials.

- Applicable manufacturer warranties are standard unless otherwise written by the seller.

- Purchaser agrees to make full payment of remaining balance within 30 days of invoicing. If payment is not paid within 30 days then a 1.5% late fee per month on the unpaid balance will be accessed to the invoice. Seller agrees that any items delivered damaged or not delivered will not be invoiced and will only be invoiced for after completed delivery for those items.

- Seller agrees that for materials delivered, but not yet installed within the invoicing period to allow the purchaser to remit a 90% payment. Purchaser can hold back 10% until the installation is complete. At the time of completion, purchaser will pay the final 10%.

- The purchaser will make all claims for shortages within five (5) working days.

- Purchaser agrees to pay all applicable sales taxes.

- No electric wiring for systems furniture or filing is included in this contract unless otherwise specified in the order. Purchaser agrees to provide the necessary electrical power at the purchaser’s own expense.

- Some equipment installed above first floor may need a Structural Engineer’s review and approval. The purchaser agrees to have this review completed and paid for. Seller agrees to provide the purchaser with references for this work.

- The seller and the purchaser will mutually agree to the time schedule, delivery, and installation date of said items. The purchaser agrees to have the job site ready and free of debris for access on that date to the seller’s installation service. If the site is not ready for installation, the purchaser agrees to notify the seller. If purchaser needs the seller’s installation group to prepare the site, the seller will do so at the seller’s standard hourly rate. If the purchaser fails to notify the seller, the purchaser agrees to pay for all the related additional costs of the site not being available for installation. The seller will make arrangements for the order to be stored and the purchaser agrees to pay for the storage charges. Seller will provide the purchaser with those costs upon request by the purchaser. Seller agrees to remove all trash from products the seller delivers.

Using the logos, icons and service names is prohibited in any manner that is likely to cause confusion among our customers, and will be considered a violation of copyright law. We reserve the right to make changes to these terms and conditions at any time without prior notifications. Our company is located in Albuquerque, NM, USA and the laws of the state of New Mexico shall govern any interpretation of these terms and conditions.
